WADATA TERMS AND CONDITIONS FOR USE

WELCOME TO WADATA!
Wadata (herein “the Platform”) is a Decentralised Marketplace for Data Workforce and Fair Data Economy in Africa. We empower and invest in African youth through Data and Green skilling to generate high-quality localized datasets, create decent job opportunities, ensure fair data compensation, support climate action, and promote inclusive socio-economic growth. Wadata is owned by Tectona Group Limited (herein “the company”).
These Terms of Use (“Terms”) govern your access and use of Wadata platform accessible at https://wadata.africa/ and the Agreement that operates between You and the Company. These Terms and Conditions set out the rights and obligations of all users regarding the use of Wadata. Your access to and use of Wadata is conditioned on Your acceptance of and compliance with these Terms and Conditions. By accessing and/or using Wadata, You agree to be bound by these Terms and Conditions. If You disagree with any part of these Terms and Conditions then You may not access Wadata. You represent that you are over the age of 18. The Company does not permit those under 18 to use Wadata.
Your access to and use of Wadata is also conditioned on Your acceptance of and compliance with the Privacy Policy of the Company. Our Privacy Policy describes Our policies and procedures on the collection, use, and disclosure of Your personal information. Please read Our Privacy Policy carefully before using Wadata.
1. ELIGIBILITY
To access and use the Wadata Platform and Services, you must meet the following criteria:
- You must be at least 18 years old, or the age of majority in your jurisdiction, whichever is higher. If you are under the required age, you may only use the platform under the supervision and with the consent of a parent or legal guardian who agrees to be bound by these Terms.
- You must have the legal capacity to enter into a binding agreement with Wadata and not be barred from doing so under any applicable laws.
- You agree to use the Platform in accordance with all applicable local, national, and international laws and regulations.
- You must provide accurate, truthful, and current information when registering for an account or applying for services through the platform. Wadata reserves the right to verify the information provided and to suspend or terminate any account found to contain false or misleading information.
- You may use the services offered on the Wadata Platform solely for personal, non-commercial purposes related to education, training, job search, and professional development, unless expressly authorized by Wadata.
2. PLATFORM SERVICES
What Wadata can offer you
Wadata bridges the gap between skilled Data Contributors/Providers (referred to as Data Champs) and Data Consumers/Clients seeking high-quality data, digital, and green solutions.

2.1. For Data Champs (Data Workforce)
- Verified, Skilled and Ethical Data Workforce – Wadata grants you early access as Data Champ to benefit from on-demand hiring of verified, skilled and ethical Data Talents (Data Collectors, Monitors, Annotators, Contributors, etc) with main focus on job placements.
- Learn-As-You-Earn – Wadata offers free access to basic self-paced and personalised microlearnings with incentivised Continuous Learning Points (CLPs) to upskill/reskill, boost career development, and job-readiness.
- Job-Matching and Income Optimisation – Wadata is designed with AI-driven job curation, matching and success probability assessment to reduce job-market entry barriers, optimise decent earnings, and promote inclusivity for underserved demographics (i.e. youth, women and PWDs).
- Fair Data Monetisation – Wadata is built to ensure increased fair earnings from data microtasks and monetised datasets contributed for real-time decision-making by Data Consumers.
- Continuous upskilling opportunities through advanced training (fees may apply for advanced training).
- A supportive community of like-minded professionals working towards data and impact-driven solutions.
2.2. Clients (Businesses, Organizations, and Recruiters)
- Decentralised Data Marketplace – Access to localised, credible, and high-quality datasets that is crowdsourced by skilled and ethical community-based data contributors.
- On-Demand Data Workforce – Hiring skilled data professionals for projects.
- Talent Acquisition – Recruiting pre-vetted Data Champs directly or via Wadata’s managed hiring services.
- Data Collection and Verification – Sector-specific data collection and verification for research studies, third-party M&E, beneficiaries tracer surveys, mapping, and impact tracking.
- Localised Quality Data for Climate Action – Providing localised, credible and quality data collection, validation and monitoring for Community-Led Climate Actions and Adoption of Green Solutions/practices.
- Community-Led Data Monitoring and Reporting – Community-based tracking and real-time reporting of SDG progress and development interventions.
2.3. Community Data Empowerment
Empowering local communities to own, value and use data for their socio-economic benefits. An inclusive and impact-driven platform that empowers African youth without requiring migration to urban areas. Wadata is more than a work platform, it is a catalyst for social and economic transformation across Africa.
3. JOB PLACEMENT SERVICES
3.1. Eligibility for Job Placement
To be eligible for job matching and placement services, a Data Champ must:
- Successfully complete the mandatory training modules as designated by Wadata.
- Maintain an active profile with updated information and no outstanding compliance issues.
- Demonstrate professionalism, ethical conduct, and compliance with Wadata’s Code of Conduct.
Undergo additional assessments or screening as required by clients or job-sourcing partners.
Eligibility does not guarantee job placement and is subject to employer demand, client requirements, and market availability.
3.2. Placement Process
Wadata may share candidate profiles, training completion status, and verification badges with job-sourcing partners or clients. The final decision on selection, onboarding, and remuneration rests solely with the employer or sourcing platform.
Wadata reserves the right to:
- Prioritize candidates based on training completion, engagement, and platform behavior.
- Decline or delay placement services for users who fail to meet platform or partner expectations.
- Suspend or revoke placement access in cases of misconduct, falsified information, or repeated performance issues.
3.3. Job-Sourcing Platforms and Clients
Wadata may partner with job-sourcing platforms and clients to facilitate job placement opportunities for qualified and verified Data Champs. These services include:
- Recommending suitable candidates for job opportunities based on their skills, training, and profile performance.
- Connecting Data Champs to short-term, freelance, or full-time roles in line with their qualifications.
- Supporting the application process through profile visibility, verification badges, and employer referrals.
Wadata does not act as an employer but as a facilitator connecting Data Champs to potential job opportunities offered by third parties.
3.4. Disclaimer
Wadata facilitates job opportunities but makes no guarantee of employment, earnings, or contract continuity. All terms of employment—including scope of work, compensation, and working conditions—are governed by the employer or hiring entity. Wadata is not liable for disputes arising out of the employment relationship unless directly attributable to a breach of Wadata’s platform responsibilities.
4. ACCOUNT REGISTRATION AND RESPONSIBILITIES
4.1. Registration Process
Users must provide accurate, complete, and up-to-date information during registration.
Registration requires a valid email address, phone number, and identity verification (if applicable). Wadata reserves the right to approve, reject, or suspend accounts at its sole discretion.
4.2. User Responsibilities
Users are responsible for maintaining the confidentiality of their login credentials.
Users must immediately notify Wadata of any unauthorized access or suspected security breaches. Each user is allowed only one account unless explicitly authorized by Wadata.
Wadata reserves the right to suspend or terminate accounts that provide false information or violate these Terms.
5. TRAINING AND CERTIFICATION
5.1. Program Enrollment
Wadata provides a variety of training programs to build practical and market-relevant skills. These include:
- Basic Modules – foundational content, often free of charge.
- Advanced Microlearning Courses – specialized, fee-based modules offering deeper skill-building opportunities.
- Certification Tracks – structured learning paths that culminate in formal recognition of competencies.
Enrollment may be free or subject to a fee, depending on course level, duration, and content complexity.
5.2. Course Access and Participation
Access to any training module is granted only after successful registration and, where applicable, full payment of course fees. Learners are expected to:
- Actively engage with course materials
- Complete assessments and assignments
- Fulfill all program requirements in a timely and ethical manner.
5.3. Certification and Verification
Upon successful completion of eligible modules, Wadata will issue a Certificate of Completion or other relevant digital credentials. These:
- Validate skill acquisition
- Enhance visibility to potential employers
- Do not constitute formal academic or professional qualifications unless expressly stated
Participants who complete designated modules may also receive a Verification Badge on their Wadata profile, confirming that they have met competency standards.
Wadata reserves the right to assess training completion, evaluate proficiency, and may require additional tasks such as practical assignments or peer reviews before granting access to work opportunities.
5.4. Mandatory and Ongoing Learning
- Mandatory Training: All Data Champs must complete required basic training before qualifying for work placements. Certain tasks may require successful completion of advanced modules.
- Ongoing Learning and Compliance: Wadata continuously updates its curriculum in response to industry needs. Data Champs are required to engage in refresher courses and new modules as determined necessary by Wadata to remain eligible for opportunities.
- Failure to Complete Modules: Incomplete modules within stipulated timelines may lead to account restriction, suspension, or termination. Attempts to bypass or falsify training will result in permanent removal from the platform.
5.5. Revocation of Certification
Wadata may revoke certificates, badges, or platform access in cases of:
- Fraudulent behavior
- Plagiarism or misrepresentation
- Violation of platform rules or academic integrity standards
5.6. Disclaimer
- Completion of Wadata training modules does not guarantee job placement or income.
- Employment outcomes depend on external factors such as market demand, client needs, and individual performance.
- Wadata training content is intended for informational and skill-building purposes only and does not replace formal qualifications or licensing.
- Wadata makes reasonable efforts to maintain the accuracy of its materials but does not guarantee that all content is current, error-free, or universally applicable.
- Wadata is not liable for financial loss, missed opportunities, or misapplication of knowledge acquired from its modules.
- Users are responsible for applying their training ethically and in line with professional standards.
Wadata reserves the right to update, revise, or discontinue any module at any time, with or without notice. Access to certain content may be subject to eligibility criteria, additional fees, or assessments.
By enrolling in Wadata’s training programs, users acknowledge and accept these terms, understanding that participation is intended for personal and professional development, and does not constitute a job offer or income guarantee.
6. DATA CHAMPS TERMS OF USE
6.1. Who is eligible to become a Data Champ?
Wadata is committed to creating an inclusive digital platform that provides opportunities for African youth, particularly in underserved communities across both rural and urban areas. Our goal is to equip Data Champs with entry-to-advanced level, job-ready skills, enabling them to earn a decent income while applying their data, digital, and green skills to tackle local and global challenges—without needing to migrate in search of job opportunities. To ensure accessibility and equal opportunity, the minimum eligibility requirements to become a Data Champ are:
- Age: 18 – 35 years
- Adaptability: Ability to quickly learn new skills and adapt to different tasks
- Continuous Learning Mindset: Passion for upskilling, career development, and creating social impact through data, digital, or green skills (e.g., sustainable solutions for climate resilience)
- Literacy: Ability to read and write in at least one widely spoken language in their country, including African local dialects, Swahili, French, English, Arabic, Portuguese, among others.
- Communication Skills: Ability to read, speak, and translate fluently
- Community Awareness: Active citizen with a strong understanding of their local geographical area, social issues, and cultural context
- Access to Technology: Owns or has access to a smart mobile device (phone, tablet, or laptop)
- Education: A secondary school certification (or equivalent) is an added advantage but not a strict requirement
By meeting these criteria, Data Champs gain access to meaningful work opportunities, relevant skills development, and the ability to contribute to Africa’s socio-economic transformation while working from their communities.
6.2. Onboarding, Job-Readiness and Skilling process

6.3. Expected Conduct for Data Champs on Wadata
As a Data Champ on Wadata, you play a crucial role in ensuring high-quality data services, upholding ethical standards, and contributing to a fair data economy in Africa. To maintain trust, professionalism, and excellence, all Data Champs must adhere to the following code of conduct:
6.3.1. Commitment to Learning and Skill Development
- Complete all mandatory microlearning modules and skill assessments before engaging in paid tasks.
- Continuously upskill in data, digital, and green skills to improve work quality and stay competitive.
- Participate in training sessions, workshops, and community learning programs as required by Wadata.
6.3.2. Ethical and Professional Standards
- Provide accurate, high-quality work that meets Wadata’s data collection and annotation guidelines.
- Maintain confidentiality and respect data privacy by handling all information responsibly.
- Do not falsify, manipulate, or misrepresent data; all submissions must be truthful and verifiable.
- Avoid plagiarism, unauthorized sharing, or selling of data obtained through Wadata.
6.3.3. Reliability and Work Ethic
- Accept only tasks that you can complete on time and to the required standard.
- Submit assignments within deadlines to maintain trust with clients and ensure timely payments.
- Communicate promptly in case of delays or challenges that affect work completion.
- Consistently demonstrate professional behavior in all interactions with clients, peers, and Wadata staff.
6.3.4. Fair and Inclusive Community Conduct
- Treat fellow Data Champs, clients, and platform administrators with respect and professionalism.
- Avoid harassment, discrimination, or any form of misconduct within the Wadata community.
- Engage in constructive discussions and provide supportive feedback to fellow Data Champs.
6.3.5. Compliance and Accountability
- Follow all platform guidelines, policies, and applicable laws when performing data tasks.
- Ensure that all work is your own; subcontracting tasks without Wadata’s approval is prohibited.
- Report unethical behavior or policy violations by other users to Wadata’s support team.
- Repeated failure to adhere to Wadata’s conduct standards may result in temporary suspension or permanent removal from the platform.
6.4. Fees and Payment Structure for Data Champs
At Wadata, we are committed to making opportunities accessible to all aspiring Data Champs. Our goal is to remove financial barriers while providing skill-building and income-generating opportunities for the African youth.
6.5. Course Fees
Wadata offers Basic and Premium/Advanced training modules to equip Data Champs with essential and specialized skills. While some of the basic modules may be free, advanced and specialized training programs may attract a training fee depending on the complexity, duration, and certification level.
Premium Course Fees: Fees for premium courses offered through our platform shall be charged in accordance with the applicable standard rates in effect at the time of registration. These rates are subject to change at our discretion without prior notice. The current fees for each course will be clearly indicated on the relevant course page or communicated to you during the enrollment process.
All payments must be made in full and in the manner prescribed on the platform. Enrollment in a course is only confirmed upon successful receipt of the applicable fees.
We reserve the right to introduce discounts, promotional offers, or fee adjustments from time to time, which may or may not apply to all users. Paid courses will be clearly labelled on the Wadata learning platform. Unless it is a fully sponsored course/module, Data Champ interested in taking the course will be required to pay before enrolling for the cohort/cohort.
Fees are non-refundable, except where required by applicable law or as determined by Wadata in exceptional cases. Failure to complete an advanced course does not entitle the Data Champ to a refund or free re-enrollment.
6.6. Admin Fees for Job Placements
Wadata applies an Admin Fee of 5% – 20% on each successful job placement or completed transaction through the platform. This fee covers platform maintenance, client acquisition, quality assurance, and operational support. The final payment amount received by Data Champs will be net of the Admin Fee.
Payments/payouts for completed and approved tasks will be processed within 30 days after job completion.
Payments will be made through Wadata’s approved payment channels (e.g., mobile money, bank transfer, or digital wallets). Data Champs are responsible for any applicable taxes or deductions in their respective countries.
7. CLIENT TERMS OF USE
Wadata is committed to connecting businesses, organizations, and individuals with a skilled and ethical data workforce while maintaining fairness and transparency. By using Wadata’s services, Clients agree to comply with the following terms.
7.1. Eligibility to Become a Client
To ensure a trustworthy and secure marketplace, all Clients must meet the following eligibility requirements:
- Be a registered business, organization, or individual seeking data-related services.
- Provide accurate and verifiable business details during onboarding.
- Have a valid payment method for transactions on the platform.
- Agree to Fair and Decent Work and Ethical Data Principles, which align with international standards, including: The Universal Declaration of Human Rights (UDHR) – Upholding dignity, fairness, and respect for workers, International Labour Organization (ILO) Fundamental Principles and Rights at Work – Ensuring fair compensation, decent working conditions, and protection from exploitation and the OECD Guidelines for Multinational Enterprises – Encouraging responsible business conduct, including ethical labor practices and data protection.
7.2. Onboarding Process for Clients
Clients must complete the following steps:
- Account Registration – Provide business or personal details and agree to Wadata’s Terms of Use.
- Verification and Approval – Wadata may conduct due diligence to verify the legitimacy of Clients.
- Project Posting and Matching – Clients can post projects or request tailored matching with skilled Data Champs.
- Agreement to Payment Terms – Clients must confirm the agreed-upon pricing, admin fees, and payment timelines before engaging Data Champs.
Wadata reserves the right to reject or suspend Client accounts that fail verification or violate our policies.
7.3. Expected Conduct of Clients
Clients must adhere to ethical and professional standards, including:
- Fair Compensation – Offer reasonable and competitive pay for services provided.
- Timely Payments – Ensure that payments are made within the agreed timeframe.
- Respect and Professionalism – Treat Data Champs with dignity, respect, and professionalism.
- No Direct Hiring Outside Wadata – Clients must not engage Data Champs outside the platform without Wadata’s approval.
- Quality Assurance and Feedback – Provide clear task instructions and feedback to ensure high-quality service delivery.
Failure to adhere to these guidelines may result in account suspension or termination.
7.4. Fees and Payment Structure
7.4.1. Talent Acquisition Fee
The Talent Acquisition Fee refers to the platform fees applicable for engaging a Data Champ listed on the Wadata platform. The applicable fee structure shall be as follows:
- Daily Usage-Based Model:
A daily fee shall be charged per individual Data Champ engaged, determined based on specified hiring tiers. This model is intended for short-term or periodic projects (typically less than one (1) month in duration). The daily fee is exclusive of any service fees payable directly to the contracted Data Champs.
- Monthly Subscription-Based Model:
A monthly fee shall be charged per individual Data Champ engaged, determined according to hiring tiers. This model is suited for medium to long-term engagements (typically between two (2) and twelve (12) months).
- Workforce Management Fee:
An administrative fee shall be charged as a percentage of the total project cost. This fee shall cover the management, coordination, and oversight of the Data Champs hired for the purpose of ensuring the successful execution of the client’s project.
The applicable fee amounts, hiring tiers, and detailed breakdowns shall be published on the Wadata platform and are subject to change at Wadata’s sole discretion.
7.4.2. Project Fees and Admin Charges
Project Fees and Administrative Charges refer to platform fees applicable for engaging Data Champs and accessing services provided through the Wadata platform. The fee structure is outlined as follows:
- Project-Based or Consulting Fees:
Applicable to long-term contracts or one-off projects where Wadata provides specific data services based on client needs. These services may include, but are not limited to, data collection for designated projects, data annotation or labeling for AI model training, and consulting for Third-Party Monitoring or research studies.
- Data Subscription Fees:
Clients may opt for regular, subscription-based access to a range of Wadata services, including data collection, annotation/labeling, ongoing monitoring, reporting, and provision of data insights. Subscription services may be structured under different tiers (e.g., Premium, Gold, Silver, Bronze) depending on the client’s business needs.
- Administrative Fee:
Wadata shall apply an administrative fee ranging from ten percent (10%) to twenty percent (20%) on all successful transactions. This fee covers platform facilitation, quality assurance, and operational support.
Custom projects requiring managed services, specialized recruitment, or large-scale data collection activities may attract additional service fees, which shall be communicated to the client prior to engagement.
7.4.3. Fee Revisions
At Wadata, we are committed to offering transparent and fair pricing. From time to time, we may update our Talent Acquisition Fees, Workforce Management Fees, and related charges to better serve you. Any updates will be clearly communicated on the platform in advance and will take effect as indicated.
7.4.4. Payment Terms and Processing
- Clients are required to pre-fund their accounts or commit to timely payments prior to the commencement of any project.
- All payments must be completed within thirty (30) days following the completion of the assigned work or project. A grace period of up to seven (7) days may be allowed for late payments, after which penalties or account restrictions may apply.
- Payments shall be made through Wadata’s approved payment channels, which may include bank transfers, mobile money platforms, or designated digital wallets.
- Wadata reserves the right to suspend, restrict, or otherwise limit Client accounts in the event of delayed, incomplete, or failed payments beyond the provided grace period.
- Wadata reserves the right to withhold payments for policy violations or disputes.
- Refunds will only be issued following a formal dispute resolution process in accordance with Wadata’s Refund Policy.
- Clients are responsible for ensuring that all payment details are accurate and up-to-date to avoid delays or complications.
7.4.5. Refunds and Disputes
- Refunds will be processed in accordance with Wadata’s Refund Policy, which outlines the conditions and procedures for issuing refunds.
- If a Client is dissatisfied with any service provided, they must report their concerns in writing within thirty (30) days of the project completion date.
- All disputes or concerns will be handled according to the formal dispute resolution process outlined in our Refund Policy.
8. INTELLECTUAL PROPERTY
8.1. Ownership of Content
All content made available on the Wadata platform including but not limited to training materials, microlearning modules, videos, assessments, logos, trademarks, platform designs, and written content is the exclusive property of Tectona Group or its licensors and is protected by applicable intellectual property laws.
Users acknowledge that they are granted a limited, non-exclusive, non-transferable license to access and use the platform content solely for personal, non-commercial learning and professional development purposes.
8.2. User-Generated Content
Where users (including Data Champs, trainers, or partners) submit content to the Wadata platform such as responses to assessments, forum discussions, feedback, or other contributions they retain ownership of such content. However, by submitting content, the user grants Wadata a worldwide, royalty-free, perpetual license to use, reproduce, adapt, publish, and display the content for the purposes of improving the platform, showcasing success stories, or for training enhancement.
Wadata reserves the right to moderate, remove, or refuse content that violates its terms or the rights of others.
8.3. Use Restrictions
Users may not:
- Copy, reproduce, modify, distribute, sell, or publicly display any platform content without express written permission from Wadata.
- Use Wadata’s intellectual property (including its name, logo, or materials) in a misleading, unauthorized, or unlawful manner.
- Create derivative works from Wadata’s training modules or platform features for commercial gain or external use.
Any unauthorized use of Wadata’s intellectual property may result in suspension of access, legal action, and claims for damages.
8.4. Third-Party Content
Some courses or training modules may include content licensed from third parties. Such content remains the property of the respective rights holders and is subject to their own intellectual property terms. Users are expected to respect all intellectual property rights, whether owned by Wadata or by third-party contributors.
9. PROVISION OF SERVICES AND CUSTOMER SUPPORT
- The Company will use commercially reasonable efforts to ensure that Wadata is available to you without interruption, except for scheduled maintenance and upgrades, force majeure events, or other circumstances beyond our control.
- The Company will provide reasonable Customer Support to You for the subscribed service on weekdays during the hours of 0900 – 1800 Hours East Africa Time (EAT), with the exclusion of Holidays (“Support Hours”). You can access support information and/or request support through our Help Centre Page accessible on https://wadata.africa/contact-us/
- The Company shall respond to customer inquiries and support requests within commercially reasonable timeframes, as determined by the severity and nature of the issue.
- The Company may offer additional services beyond standard customer service and support, such as consulting or customisation services, which may be subject to additional fees. You shall be notified of any additional fees and must agree to them in writing before the services are provided.
10. THIRD-PARTY SERVICES
The Wadata platform may integrate, reference, or provide access to services, products, tools, content, or websites operated by third-party providers (“Third-Party Services”) to enhance functionality, provide additional features, or facilitate the provision of services under this Agreement.. These services are provided solely for the convenience of users and may include job placement partners, payment processors, certification bodies, learning tools, or external content platforms. Except as expressly provided in this Terms, the company disclaims all warranties, whether express, implied, or statutory, regarding Third-Party Services, including any warranties of merchantability, fitness for a particular purpose, or non-infringement.
The Company has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party web sites or services. You further acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such web sites or services. We strongly advise You to read the terms and conditions and privacy policies of any third-party web sites or services that You visit.
10.1. No Endorsement
The inclusion of any Third-Party Services on the Wadata platform does not imply an endorsement, sponsorship, or recommendation by Wadata. Wadata does not control, and is not responsible for, the availability, accuracy, legality, or content of any third-party services or platforms.
10.2. User Responsibility
Users acknowledge and agree that any use of Third-Party Services is at their own risk and subject to the terms, privacy policies, and conditions of the respective third parties. Wadata encourages users to review these terms before engaging with any external service.
Wadata shall not be liable for any loss, damage, or inconvenience resulting from the use of, or reliance on, any Third-Party Services.
10.3. Data Sharing with Partners
To facilitate job placements or service delivery, Wadata may share limited personal or training data of users with trusted third-party partners in accordance with Wadata’s Privacy Policy and applicable data protection laws. Users consent to such sharing for the purposes of enabling access to opportunities, verifying credentials, or providing tailored services.
11. UNAUTHORISED USE OF WADATA
When using Wadata, You SHALL NOT: (a) sublicense, resell, distribute, or otherwise commercially exploit the Platform; (b) modify or create derivative works based on the Platform; (c) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Platform; (d) remove any proprietary notices or labels from the Platform; or (e) knowingly access, store, distribute or transmit any Viruses, or any material during the course of its use of the Services that: (i) is unlawful, harmful, threatening, defamatory, obscene, infringing, harassing or racially or ethnically offensive; (ii) facilitates illegal or unlawful activity; (iii) depicts sexually explicit images; (iv) promotes unlawful violence; (v) is discriminatory based on race, gender, colour, religious belief, sexual orientation, disability; or (vi) is otherwise illegal or causes damage or injury to any person or property. The company reserves the right to suspend or terminate your access to Wadata if we reasonably believe that you or any other Authorised User has engaged in any unauthorised use of the Platform.
12. MAINTENANCE AND UPDATES
The Company may, from time to time and at its sole discretion, provide updates, upgrades, or modifications to Wadata (“Updates”). These Updates may include bug fixes, feature enhancements, and improvements to the user interface or user experience. The Company may also perform routine maintenance on Wadata to ensure proper functioning and security. The Company will make reasonable efforts to notify you in advance of any scheduled maintenance that may affect your use of Wadata. However, there may be occasions when emergency maintenance is required, and the Company may need to perform maintenance without prior notice. The Company shall not be liable for any losses or damages arising from such maintenance activities. You agree that the Company may update or modify Wadata at any time, with or without notice, and that your continued use of the Wadata after such Updates constitutes your acceptance of the updated Terms. The Company reserves the right to discontinue or retire any part of Wadata, including features or functionalities, at any time, without liability to you or any third party.
13. RESTRICTED USE
You agree NOT TO upload, post, transmit, or otherwise make available any User Data that is unlawful, or otherwise objectionable including but not limited to:
- Defamatory, discriminatory, obscene, pornographic, invasive of privacy or mean-spirited content, including references or commentary about religion, race, sexual orientation, gender, national/ethnic origin, or other targeted groups.
- Spam, machine – or randomly – generated, constituting unauthorized or unsolicited advertising, chain letters, any other form of unauthorized solicitation, or any form of lottery or gambling.
- Containing or installing any viruses, worms, malware, trojan horses, or other content that is designed or intended to disrupt, damage, or limit the functioning of any software, hardware or telecommunications equipment or to damage or obtain unauthorized access to any data or other information of a third person.
- Infringing on any proprietary rights of any party, including patent, trademark, trade secret, copyright, right of publicity or other rights.
- Impersonating any person or entity including the Company and its employees or representatives.
- False information and features.
The Company reserves the right to remove any User Data that violates these Terms or is otherwise deemed inappropriate.
14. DATA SECURITY
The Company is committed to protecting your privacy and handling your User Data in accordance with its Privacy Policy. We use industry-leading practices to protect your data, including a system architecture that separates different users’ data into separate back-end databases and separate system memory spaces so that bugs or system errors cannot easily allow one user to access another’s data. However, you acknowledge and agree that no system can guarantee absolute security, and the Company shall not be liable for any unauthorised access to, or use or disclosure of, your User Data.
15. DATA RETENTION AND ACCESS
The Company may retain your User Data for as long as necessary to fulfill the purposes for which it was collected, including for backup, archival, and audit purposes, or as required by law. You may request the deletion of your User Data by contacting the Company, subject to applicable laws and the Company’s data retention policies.
Upon request, and to the extent feasible, the Company may provide you with a copy of your User Data in a commonly used electronic format.
The Company may, in its sole discretion, modify, adapt, or format your User Data to ensure compliance with Wadata’s technical requirements or these Terms.
16. TERMINATION
The Company reserves the right to terminate or suspend your subscription and/or access to Wadata at any time for violation of these Terms or for any other reason, with or without notice, or liability, in its sole discretion. Upon termination, Your right to use the Service will cease immediately. If You wish to terminate Your Account, You may simply discontinue using the Service.
17. ACCOUNT DEACTIVATION AND DELETION
We respect your right to control your personal data and your engagement with the Wadata platform. This section outlines how users can deactivate or permanently delete their accounts, and the conditions under which such actions may be processed.
17.1. Deactivation of Your Account
You may choose to deactivate your Wadata account if you no longer wish to actively use the platform but may return in the future.
- Upon deactivation, your profile will no longer be publicly visible, and your access to the platform will be temporarily suspended.
- All data associated with your account will be securely retained in accordance with our data retention practices.

Please note: Account deactivation is required prior to initiating a deletion request unless explicit approval is granted by a platform administrator.
17.2. Deletion of Your Account
You may request to permanently delete your account and associated personal data under the following conditions:
- Your user status is marked as “Completed” or “Inactive for over a year”;
- You have no active assignments, tasks, surveys, pending payments, or unresolved obligations;
- You have either deactivated your account or received admin approval for early deletion.
If any of the above conditions are not satisfied, the account deletion function will be disabled or an error notice will be displayed.
- Deletion Process
Once a deletion request is confirmed:
- We will verify that no assignments, surveys, or reports are pending;
- Your user profile, login credentials, and personal data will be permanently removed from our active systems within 90 days;
- Submitted or contributed data (e.g., reports, insights) may be anonymized or archived in accordance with our data retention policy;
- You will receive confirmation via email or SMS, where applicable.
Wadata may apply a 14-day grace period before final deletion, during which you may cancel the deletion request by logging back in.
- Admin Oversight
In cases where an account is linked to sensitive data, ongoing projects, or reports of high priority, Wadata administrators may retain the right to approve or deny deletion requests. Admin intervention is also required where legal, regulatory, or contractual obligations prevent immediate deletion.
17.3. Retention of Data
Even after account deletion, we may retain certain information if required to:
- Comply with legal or regulatory obligations;
- Resolve disputes or enforce our Terms of Use;
- Fulfill audit or operational requirements.
All retained data will be handled in compliance with applicable data protection laws and securely stored in line with our internal policies.

18. LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law, in no event shall the company, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with your use of the services or any third-party services, regardless of whether such damages are based on warranty, contract, tort (including negligence), or any other legal theory, and even if the company has been advised of the possibility of such damages. The company’s total liability to you for any claim arising out of or in connection with this agreement or the services shall not exceed the amount paid by you to the company for the services in the twelve months prior to the event giving rise to the claim.
19. DISCLAIMER
The Services are provided on an “AS IS” and “AS AVAILABLE” basis. The Company makes no representations or warranties of any kind, express or implied, regarding the Services or the content contained therein. The Company does not warrant that the Services will be uninterrupted or error-free, that defects will be corrected, or that the Services or the servers that make them available are free of viruses or other harmful components.
The Company does not warrant or make any representations regarding the use or the results of the use of the Services in terms of their correctness, accuracy, reliability, or otherwise. You assume the entire cost of all necessary servicing, repair, or correction in the event of any loss or damage arising from the use of the Services.
The Company reserves the right to modify, suspend, or discontinue the Services or any part thereof at any time, with or without notice.
Some jurisdictions do not allow the exclusion of certain types of warranties or limitations on applicable statutory rights of a consumer, so some or all of the above exclusions and limitations may not apply. But in such a case the exclusions and limitations set forth in this section shall be applied to the greatest extent enforceable under applicable law.
20. SEVERABILITY
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.
21. WAIVER
The failure of either party to exercise in any respect any right provided for herein shall not be deemed a waiver of any further rights hereunder. A waiver by either party of any term or condition of these Terms or any breach thereof, in any one instance, will not waive such term or condition or any subsequent breach thereof.
22. GOVERNING LAW
The laws of Kenya shall govern this Terms and Your use of the Service.
23. DISPUTES RESOLUTION
If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting the Company and resolve the dispute as follows:
23.1. Negotiation
In the event of any dispute or disagreement arising out of or relating to these Terms, You agree to first attempt to resolve the dispute through good faith negotiations between you and the company. You and the Company shall designate representatives with decision-making authority for such negotiations.
23.2. Mediation
If negotiations do not lead to a resolution within Thirty (30) days after the written notice of dispute, You and the Company agree to submit the dispute to mediation. The mediation shall be conducted by a mediator mutually agreed upon by both parties. The costs of mediation shall be shared equally between You and the Company unless the mediator determines otherwise.
Should such mediation fail to achieve a resolution within One Hundred and Twenty (120) days, either You or the Company may declare a dispute by written notification to the other, whereupon such dispute shall be referred to any court of competent jurisdiction in Kenya.
24. CHANGES TO THESE TERMS AND CONDITIONS
We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material We will make reasonable efforts to provide at least Thirty (30) days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at Our sole discretion. By continuing to access or use Our Service after those revisions become effective, You agree to be bound by the revised terms. If You do not agree to the new terms, in whole or in part, please stop using the website and the Service.
25. FEEDBACK AND INQUIRY
The Company welcomes feedback, suggestions, or ideas regarding Wadata, which you may submit voluntarily. By providing feedback, you grant the Company a non-exclusive, perpetual, irrevocable, royalty-free, worldwide license to use, modify, reproduce, disclose, sublicense, distribute, and exploit such feedback without restriction. 26. DEFINITIONS
- Account – A registered profile created by a User to access and use the Wadata platform, subject to verification and security measures.
- Admin Fee (also known as an administrative fee or processing fee) – A percentage-based, non-refundable charge imposed by Wadata for facilitating transactions on the platform. This fee covers administrative costs associated with processing transactions, account maintenance, service facilitation, and other operational expenses. Wadata reserves the right to adjust this fee as communicated in the platform’s pricing or fee schedule.
- Agreement – This Terms of Use document and any additional policies that are incorporated by reference.
- Clients – Refers to businesses or individuals that register, access, or use Wadata’s platform to acquire services from the platform. This includes users who engage in transactions, utilize platform features, or benefit from Wadata’s offerings under the Terms of Use. Clients may be subject to specific obligations, fees, and policies as outlined by Wadata.
- Company (referred to as either “the Company”, “We”, “Us” or “Our” in this Agreement) refers to Tectona Group Limited, a company duly incorporated in Kenya.
- “Data Champs” – Refers to verified, skilled, and ethical data contributors who offer services such as data collection, annotation, and verification through the Wadata platform. They adhere to Wadata’s standards of accuracy, integrity, and compliance while providing their expertise to Clients.
- Device – Refers to any electronic equipment, including but not limited to smartphones, tablets, computers, or other internet-enabled hardware, used to access or interact with Wadata’s platform and services.
- Investors – Refers to individuals or entities that provide funding or financial support to Wadata, its platform, or its associated projects in exchange for potential returns, equity, or other agreed-upon benefits. Investors may be subject to specific terms, conditions, and rights as outlined by Wadata.
- Microlearnings – Refers to short, focused learning modules or educational content designed to deliver specific knowledge or skills in a concise and easily digestible format. These modules are accessible through the Wadata platform and are intended to enhance the expertise of Data Champs efficiently.
- Services – Encompasses all features, functionalities, and offerings available on the Wadata platform, including but not limited to Data Collection and Verification, Data, Digital and Green Skilling, High-Quality AI Data Annotation, Localised Quality Data for Climate Action, Community-Led Data Monitoring and Reporting, Community Data Empowerment, Decentralised Data Marketplace, microlearning, and investment opportunities.
- Transaction – Any exchange of services, data, or payments facilitated through the Wadata platform between Users, including but not limited to payments for services, microlearning enrollments, and investments.
- “User – Refers to any individual or entity that accesses, interacts with, or utilizes the Wadata platform, including but not limited to Clients, Data Champs, and Investors. Users are subject to Wadata’s Terms of Use and any applicable policies governing their engagement with the platform.
- Verification – The process by which Wadata confirms the identity, skills, and compliance of Users, particularly Data Champs, before granting access to certain services or transactions.
- Intellectual Property – All trademarks, copyrights, patents, trade secrets, and proprietary content owned by Wadata, including platform design, branding, and learning materials.
